2 — Engagement Terms
All engagements require a signed SOW prior to commencement. Changes to scope require written approval and may affect pricing.
3 — Payment Structure
50% deposit required upon signing. Balance due upon delivery or per SOW milestones. Retainers billed monthly in advance.
4 — Intellectual Property
Clients retain ownership of custom deliverables upon full payment. Outperforma retains all proprietary frameworks, methodologies, and tools.
5 — Confidentiality
All client information is held in strict confidence. NDAs available upon request.
6 — Timeline & Communication
Timelines are defined in the SOW. Delays caused by client inputs may affect delivery. Response target: 1 business day.
7 — Limitation of Liability
Total liability capped at fees paid for the specific engagement. No guarantee of specific business outcomes.
8 — Termination Rights
Either party may terminate with 30 days written notice. Payment due for all work completed through termination date.
